Terms of Service

These Terms of Service ("Terms") govern your use of the websites, documentation and hosted services provided by Nunchi Ltd ("Nunchi", "we", "us" or "our") that link to these Terms (the "Services"). By using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation.

A separate agreement or software license governs its own subject matter and takes precedence over these Terms if there is a conflict. Our Privacy Policy explains how we handle personal data.

1. Eligibility and access​

You must be at least 18 years old and have legal capacity to enter into an agreement to register for an account or use a hosted Service. You may use the Services only where permitted by applicable law, including applicable sanctions and export restrictions. Additional requirements may apply to particular Services.

Some Services require an account, credentials or approval. Documentation does not grant access to a hosted Service or data endpoint. Provide accurate information and keep your credentials secure. Use only accounts, wallets and resources you are authorised to access.

2. Software and intellectual property​

The Nunchi SDK is open-source software provided under the MIT and Apache 2.0 licenses included with the code. Those licenses govern your use of the software. These Terms do not restrict rights granted under them. Third-party components remain subject to their own licenses.

We and our licensors retain our rights in the Services, documentation and trademarks. You may use the documentation in connection with permitted use of the software and Services. Other copying or redistribution requires permission unless allowed by an applicable license or law. No trademark rights are granted by these Terms.

You retain ownership of information you submit. You must have the rights needed to provide it and permit us to use it to deliver the requested Service.

3. Acceptable use​

You must not:

  • Use the Services for unlawful activity, fraud, market manipulation or infringement of another person's rights.
  • Access accounts, credentials, systems or non-public information without authorisation.
  • Introduce malicious software, disrupt the Services or overload our infrastructure.
  • Bypass access controls, permission limits, usage limits or lawful restrictions.
  • Misrepresent your identity or authority, or use the Services to deceive others.

You may use APIs and software integrations within their authorised scope and applicable usage limits. If you allow an application or agent to use the Services on your behalf, you are responsible for the permissions you grant. Do not grant authority you do not hold.

4. Connected services and transactions​

Wallets, networks and third-party applications have their own terms and privacy policies. Their operators are responsible for their services. A network does not become a Nunchi-operated service solely because it uses the Nunchi SDK.

Where a Service supports transactions, review the permissions and transaction details before authorising them. An application or agent you authorise may act without asking you to confirm each request, within the permissions you grant. Requests may fail, be delayed or execute differently from an estimate. Digital-asset transactions may be irreversible and may result in loss. Revoking access does not necessarily cancel pending requests or reverse completed transactions.

This section does not limit our responsibility for our own Services under these Terms or applicable law.

5. Information and advice​

Documentation, reference data and examples may contain errors or become outdated. A displayed value is not a guaranteed execution price or return. Information about a feature or market does not guarantee its availability.

The Services do not provide personal investment, legal or tax advice. Assess whether a proposed use is appropriate for you and obtain professional advice where needed. Statements about future features or plans are not commitments unless expressly agreed in a separate agreement.

6. Availability and warranties​

Except for commitments in an applicable agreement and rights that cannot lawfully be excluded, the Services are provided "as is" and "as available", without warranties of any kind. We do not guarantee uninterrupted availability, accuracy or error-free operation.

Warranties and disclaimers for open-source software are governed by its applicable license. Nothing in these Terms overrides those licenses or any mandatory consumer rights.

7. Suspension and termination​

We may restrict, suspend or terminate access where reasonably necessary to address a material breach of these Terms, unlawful activity, unauthorised access, a security risk or a legal requirement. We may act immediately where delay would increase the risk or notice is prohibited. Otherwise, we will give reasonable notice and, where appropriate, an opportunity to resolve the issue.

You may contact legal@nunchi.trade to request a review of a restriction. You may stop using the Services at any time. Changes to or termination of a paid Service remain subject to its agreement, including any applicable notice, refund and transition obligations.

Ending access to a hosted Service does not terminate rights under an open-source license. It does not itself close positions, reverse transactions or delete personal data.

8. Liability​

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Your mandatory consumer and data-protection rights remain available.

Subject to the preceding paragraph, Nunchi Ltd's total liability to you for all claims arising out of or relating to these Terms or the Services will not exceed US$100. We are not liable to business users for indirect or consequential losses arising from use of the Services.

Liability for a Service covered by a separate agreement, or software supplied under a separate license, is governed by that agreement or license and applicable law.

9. Changes to these Terms​

We may update these Terms to reflect changes to the Services, legal requirements or security needs. We will update the date above and give reasonable advance notice of material changes through the relevant Service or a contact method available to us, unless an urgent legal or security reason requires earlier changes.

Changes apply prospectively and do not remove rights or remedies that have already arisen. Where your agreement is required, we will request it. If you do not agree, you may stop using the affected Service, subject to the rights and obligations in any separate agreement.

10. Governing law and disputes​

These Terms are governed by the laws of Saint Lucia. This choice does not deprive you of protections that cannot be excluded under the law applicable to you.

The courts of Saint Lucia have non-exclusive jurisdiction over disputes concerning these Terms. Consumers may bring proceedings in any court available under mandatory law. Nothing in these Terms limits your right to complain to a regulator or use another statutory remedy.

11. General​

These Terms and any applicable separate agreement govern the relevant Services. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver of the right to enforce it later.
